Richmond, BC, Canada – Ultimate Skateboard Distributors Inc. and Wick Winder Distribution Ltd merge to form one of Canada’s largest action sports distributors. Ultimate Skateboard Distributors, established in 1985 by Bones Brigade Pro Kevin Harris has been leading force in the distribution of skateboard hardgoods in Canada.  Wick Winder Distribution, originally founded in 2001 by Brad Richmond and Sean Johnson has become a well-established distribution business with a strong focus on pre-booking streetwear, accessory and snow brands.

The merger will see both companies unite to form a single entity,  Ultimate Distribution. With warehouses on both the East and West Coast of Canada,  Ultimate Distribution will now grow it’s year-round offering bringing many of the industries leading brands to the Canadian marketplace.  “This is something the two companies have talked about for a long time,” says Ultimate Distribution owner Kevin Harris. “I own Ultimate and I have been a part-owner of Wick Winder since 2004, Brad and I have talked openly for years on the concept of merging the two companies and we both felt that the timing was right”.

Business news : Columbia Sportswear Narrows Q2 Loss; U.S. Posts Gains

Columbia Sportswear Company announced net sales of $280.5 million for the quarter ended June 30, down 3 percent compared with net sales of $290.4 million for the same period in 2012, including a 1 percentage point negative effect from changes in currency exchange rates.

Second quarter net loss improved 10 percent to $7.1 million, or 21 cents per diluted share, compared with net loss of $7.9 million, or 23 cents per diluted share, for the same period in 2012.

“During the second quarter, we successfully launched our Omni-Freeze Zero and Cool.Q Zero active cooling technology,” said Tim Boyle, Columbia’s president and chief executive officer, commented. “Sell-through of our spring season products improved as our marketing programs drove consumer awareness and warm weather arrived in key markets. Operationally, we improved our inventory flow and continued to demonstrate focused expense management.”

Boyle continued, “We also recently announced three important additions to our senior leadership team, bringing on seasoned veterans to refine and expand our global direct-to-consumer business, re-energize our North American wholesale business, and to lead our new China joint venture expected to commence in January, 2014. Each of these areas is of strategic importance in our efforts to achieve renewed sales growth from our portfolio of brands and improve profitability over the long term.”

Second Quarter Results

he second quarter is the company’s smallest revenue quarter, historically accounting for approximately 15 percent of annual net sales. As a result, regional, category and brand net sales results often produce large percentage variances in relation to the prior year’s comparable period due to the small base of comparison and shifts in the timing of shipments.

Net sales in the U.S. increased $7.7 million, or 6 percent, to $139.8 million; Latin America/Asia Pacific (LAAP) region net sales decreased $2.9 million, or 3 percent, to $81.2 million, including a 5 percentage point negative effect from changes in currency exchange rates; Europe/Middle East/Africa (EMEA) region net sales declined $16.9 million, or 24 percent, to $53.1 million, including a less-than-1-percent negative effect from changes in currency exchanges rates; net sales in Canada, increased $2.2 million, or 52 percent, to $6.4 million, including a 6 percentage point negative effect from changes in currency exchanges rates.

Apparel, Accessories & Equipment net sales decreased $5.2 million, or 2 percent, to $235.7 million. Footwear net sales of $44.8 million were down $4.7 million, or 9 percent.


Columbia brand net sales decreased $8.2 million, or 3 percent, to $252.5 million, and Mountain Hardwear net sales declined $1.2 million, or 5 percent, to $22.5 million.

The company ended the second quarter with $430.6 million in cash and short-term investments, compared with $228.5 million at June 30, 2012. Approximately 43 percent of cash and short-term investments were held in foreign jurisdictions where a repatriation of those funds to the United States would likely result in a significant tax cost to the company.

Consolidated inventories totaled $423.8 million at June 30, 2013, a reduction of $99.3 million, or 19 percent, compared with $523.1 million at June 30, 2012. Reduced inventory purchases, primarily reflecting the planned later receipt of Fall inventory to be more aligned with delivery dates requested by wholesale customers, and lower Fall 2013 advance wholesale orders, combined with lower end-of-season Spring inventory, accounted for the vast majority of the favorable decline.


Updated Full Year 2013 Financial Outlook

The company expects 2013 net sales to decline up to 2.5 percent compared to 2012, including an approximate 2 percentage point negative effect of anticipated changes in foreign currency exchange rates.

Full year 2013 gross margin is expected to improve by up to 10 basis points compared to 2012, including the effect of deferring approximately $2.3 million of gross profit into 2014 as a result of the previously announced plan to transition to a joint venture in China, effective Jan. 1, 2014, from the current independent distributor arrangement.

Full year 2013 selling, general and administrative expenses are expected to increase approximately 1.5 percent, including approximately $3.5 million in pre-operating expenses related to the China joint venture and pre-tax restructuring charges of approximately $4.8 million, resulting in approximately 140 basis points of SG&A expense deleverage.

Full year 2013 licensing income is expected to be comparable to 2012, including the effect of deferring approximately $3.9 million of licensing income into 2014 in conjunction with the transition to the China joint venture.


As a result, full year 2013 operating margin is expected to be approximately 6.8 percent. Full year 2013 operating margin is expected to be approximately 7.6 percent if the following items are excluded: the anticipated $4.8 million in restructuring charges, the deferral of approximately $2.3 million of gross profit and $3.9 million of licensing income into 2014 and pre-operating costs of approximately $3.5 million related to the China joint venture.

The company is modeling a full year effective tax rate of 26 percent; however, the actual rate could differ, perhaps significantly, based on the status of tax uncertainties, the geographic mix of pre-tax income, as well as other discrete events that may occur during the year.

Third Quarter 2013 Financial Outlook

The company expects third quarter net sales to decline up to 6.5 percent compared with the third quarter of 2012, driven by lower wholesale sales in the U.S. and Europe, due primarily to a slight shift in customers’ requested delivery dates and lower advance orders, and lower sales to LAAP distributors, due primarily to import restrictions and currency constraints in key South American distributor markets and the transition to a new distributor in Australia. These declines are expected to be partially offset by a timing shift of shipments of EMEA distributors’ Fall 2013 advance orders, and increased direct-to-consumer sales in North America.

An expected decline in third quarter gross margin of approximately 100 basis points and an anticipated 3 percent increase in SG&A expense, partially offset by increased license income, are expected to result in third quarter operating margin contraction of approximately 310 to 320 basis points compared with the third quarter of 2012. Excluding a total of approximately $1.6 million of anticipated pre-operating costs and deferral of gross profit and licensing income related to the China joint venture, third quarter 2013 operating margin is expected to contract approximately 280 to 290 basis points.

The company’s annual net sales are weighted more heavily toward the second half of the fiscal year, while operating expenses are more equally distributed, resulting in a highly seasonal profitability pattern weighted toward the second half. Business news : Harley-Davidson Posts Second-Quarter 2013 Earnings, Revenue And Retail Motorcycle Sales Growth

  • Second-Quarter Worldwide Harley-Davidson Retail Motorcycle Sales Increase 5.2%
MILWAUKEE, WI – July 25, 2013 – Harley-Davidson, Inc. (NYSE: HOG) second-quarter 2013 diluted earnings per share increased 13.1% on higher motorcycle shipments and continued gains in operating efficiencies, compared to the year-ago period.

Second-quarter net income was $271.7 million on consolidated revenue of $1.79 billion, compared to net income of $247.3 million on consolidated revenue of $1.73 billion in the year-ago period. Second-quarter 2013 diluted earnings per share were $1.21, compared to $1.07 in the year-ago quarter.
Through six months, Harley-Davidson net income was $495.9 million on consolidated revenue of $3.37 billion, compared to net income of $419.3 million on consolidated revenue of $3.16 billion in the year-ago period. Six-month 2013 diluted earnings per share were $2.20, compared to $1.81 in the year-ago period.

“Harley-Davidson again drove strong financial performance in the second quarter, reflecting the many improvements in operations we have made throughout the Company over the past few years as well as our brand strength globally,” said Keith Wandell, Chairman, President and Chief Executive Officer of Harley-Davidson, Inc. “Our employees, dealers and suppliers continue to do an outstanding job, working as one team and moving in one direction, to deliver a great experience for our customers,” Wandell said.

“During the second quarter, we completed our first year of seasonal surge production at York with great success. We also surpassed a milestone for international dealership growth. With the opening of a dealership in Salvador, Brazil on June 29th, we have added 104 dealerships outside the U.S. since late 2009, achieving our goal to add 100 to 150 international dealerships by the end of 2014,” Wandell said.

“Of course, all summer long we are celebrating our 110th anniversary with Harley-Davidson enthusiasts from around the world, including one of our biggest-ever international consumer events last month in Rome and the upcoming celebration in Milwaukee on Labor Day weekend. And less than a month from now, we will launch an exciting lineup of new 2014 motorcycles.” Wandell said.

Retail Harley-Davidson Motorcycle Sales

Dealers worldwide sold 90,193 new Harley-Davidson motorcycles in the second quarter of 2013, compared to 85,714 motorcycles in the year-ago quarter. In the U.S., dealers sold 58,241 new Harley-Davidson motorcycles in the quarter, up 4.4% compared to the year-ago period. In international markets, dealers sold 31,952 new Harley-Davidson motorcycles during the second quarter, compared to 29,953 motorcycles in the year-ago period, with unit sales up 12.3% in the Asia Pacific region, 1.0% in the EMEA region, 39.2% in the Latin America region, and 3.6% in Canada.

Through six months, dealers sold 144,447 new Harley-Davidson motorcycles worldwide, compared to 145,391 motorcycles in the year-ago period, with retail unit sales up 11.9% in the Asia Pacific region, 22.8% in the Latin America region and 2.4% in Canada, and down 2.7% in the U.S. and 3.6% in the EMEA region, compared to the first half of 2012. The Company believes first-half U.S. retail sales were adversely impacted by a prolonged and abnormally cool and wet spring in 2013, compared to an abnormally early and warm spring in 2012.

Harley-Davidson Motorcycles and Related Products Segment Results

Second-Quarter Results: Operating income from motorcycles and related products grew 15.5% to $357.7 million in the second quarter of 2013, compared to operating income of $309.6 million in the year-ago period. Operating income in the quarter benefited from higher motorcycle shipments as the Company continued the implementation of seasonal surge motorcycle production, higher gross margin and lower restructuring expense, compared to the prior-year period.

Revenue from motorcycles grew 4.2% to $1.27 billion, compared to revenue of $1.22 billion in the year-ago period. The Company shipped 84,606 motorcycles to dealers and distributors worldwide during the quarter, in line with shipment guidance and a 1.3% increase compared to shipments of 83,502 motorcycles in the year-ago period.

Revenue from motorcycle parts and accessories was $269.6 million during the quarter, up 1.5%, and revenue from general merchandise, which includes MotorClothes® apparel and accessories, was $81.7 million, up 8.7%, compared to the year-ago period.

Gross margin was 36.9% in the second quarter of 2013, compared to 35.9% in the second quarter of 2012. Second-quarter operating margin from motorcycles and related products was 21.9%, compared to operating margin of 19.7% in last year’s second quarter.

Six-Month Results: Through six months the Company shipped 159,828 motorcycles to dealers and distributors worldwide, an 8.2% increase compared to the year-ago period. Six-month revenue from motorcycles grew 9.4% to $2.43 billion, revenue from parts and accessories decreased 2.4% to $453.6 million and revenue from general merchandise increased 2.7% to $153.8 million, compared to the first six months of 2012. Gross margin through six months was 36.8% and operating margin was 20.8%, compared to 35.9% and 18.2% respectively in the year-ago period.

Financial Services Segment Results

Operating income from financial services was $74.2 million in the second quarter of 2013, a 9.5% decrease compared to operating income of $82.0 million in last year’s second quarter, which benefited from the release of significant credit loss reserves. Financial services results also reflect higher net interest income on favorable cost of funds and lower operating expenses in the second quarter of 2013 compared to the prior-year period. Through six months, operating income from financial services was $145.7 million, compared to operating income of $149.3 million through six months in 2012.

Guidance

Harley-Davidson continues to expect to ship 259,000 to 264,000 motorcycles to dealers and distributors worldwide in 2013. In the third quarter of 2013, the Company expects to ship 51,000 to 56,000 motorcycles, compared to shipments of 52,793 motorcycles in the year-ago period. The Company continues to expect full-year 2013 gross margin of 35.25% to 36.25%.  The Company also continues to expect capital expenditures of $200 million to $220 million in 2013.

Restructuring Update

In the second quarter, the Company recorded a restructuring benefit related to its decision to maintain a scaled-back operation at its New Castalloy wheels facility rather than completely exit the operation. During the quarter, the Company reversed previously expensed exit costs, resulting in a benefit to restructuring of $5.3 million, compared to a restructuring expense of $6.2 million in the year-ago quarter.  Upon the expected completion of restructuring in 2013, Harley-Davidson now expects restructuring activities initiated since 2009 to result in one-time overall costs of approximately $485 million, including approximately $3 million in 2013. The Company continues to expect savings of approximately $305 million in 2013 from restructuring activities initiated since 2009, rising to annual ongoing savings of approximately $320 million beginning in 2014.

Income Tax Rate

Through six months, the Company’s effective tax rate was 34.8%, compared to 35.3% in the year-ago period.  The lower effective tax rate in the first half of 2013 was primarily driven by the retroactive reinstatement of the Research and Development Tax Credit with the enactment of the American Taxpayer Relief Act of 2012.  The Company continues to expect its full-year 2013 effective tax rate to be approximately 34.8%.

Cash Flow

Cash and marketable securities totaled $1.43 billion at the end of the second quarter, compared to $1.21 billion at the end of last year’s second quarter. During the first six months of 2013, Harley-Davidson generated $389.7 million of cash from operating activities, compared to $288.2 million in the year-ago period. On a discretionary basis, the Company repurchased 3.5 million shares of Harley-Davidson, Inc. common stock during the first half of 2013 at a cost of $186 million. At the end of the second quarter of 2013, there were 12.2 million shares remaining on board-approved share repurchase authorizations.
